Terms of Service

1. Definitions

"Service" refers to php-next.com and all related software, documentation, and services provided by MadeByNico ("we", "us", "our").

"Software" refers to the php-next encoder, loader, and related tools.

"License" refers to the right to use the Software under the terms specified in your purchased plan.

"User" or "You" refers to the individual or entity using the Service.

2. Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Software according to your purchased plan:

• TRIAL: 7-day trial license for testing purposes only. Non-production use.
• PRO: Annual license for one production domain/project.
• ULTRA: Annual license for unlimited domains/projects.
• ULTRA V1: Annual license for unlimited domains/projects with advanced security features.

3. Restrictions

You may NOT:

• Reverse engineer, decompile, or disassemble the Software.
• Share, resell, or redistribute your license or encoded blobs to unauthorized parties.
• Use the Software to encode malicious code, malware, or illegal content.
• Remove or alter any copyright notices or proprietary markings.
• Use the Software in violation of any applicable laws or regulations.
• Attempt to bypass security measures, license validation, or anti-tamper protections.

4. Intellectual Property

All rights, title, and interest in the Software, including all intellectual property rights, remain the exclusive property of MadeByNico. The Software is protected by copyright, trademark, and other laws.

You retain all rights to code you encode using the Software. The Software does not claim ownership of your source code.

5. License Expiry

Licenses are valid for the duration specified in your plan:

• TRIAL: 7 days from activation.
• PRO/ULTRA/ULTRA V1: 1 year from purchase date.

After expiry, you must renew your license to continue using the Software. Encoded blobs created during the license period remain functional, but you cannot create new encoded blobs without an active license.

6. Trial Terms

The 7-day trial is provided for evaluation purposes only:

• Trial licenses are limited to testing and non-production environments.
• No credit card required for trial activation.
• Trial licenses cannot be extended or converted to paid licenses automatically.
• We reserve the right to revoke trial licenses if used in violation of these Terms.

7. No Refunds

IMPORTANT: Due to the digital nature of the Software and immediate license activation, we do not offer refunds for purchased licenses.

• All sales are final once a license is activated.
• This policy complies with EU Directive 2011/83/EU Article 16(m), which exempts digital goods from the right of withdrawal when the consumer has consented to immediate performance.
• By purchasing a license, you explicitly waive your right of withdrawal.
• If you are unsure, please use the 7-day free trial before purchasing.

8. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Ensuring compliance with all applicable laws when using the Software.
• Backing up your source code before encoding.
• Testing encoded blobs in a safe environment before production deployment.

9. Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Software is provided "AS IS" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, or consequential damages.
• Our total liability shall not exceed the amount you paid for your license in the 12 months preceding the claim.
• We are not responsible for data loss, security breaches, or damages resulting from use of the Software.

10. Governing Law

These Terms are governed by the laws of the Netherlands and the European Union. Any disputes shall be resolved in the competent courts of the Netherlands.

11. Enforcement & Termination

We reserve the right to:

• Suspend or terminate your license if you violate these Terms.
• Investigate suspected violations and take appropriate legal action.
• Modify or discontinue the Service at any time with reasonable notice.

Upon termination, your right to use the Software immediately ceases, and you must destroy all copies of the Software in your possession.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or website notice. Continued use of the Service after changes constitutes acceptance of the new Terms.
